1. Acceptance of These Terms

These Terms of Service ("Terms") form a binding agreement between you (either an individual or an entity you represent, "you" or "Customer") and Embedio ("Embedio," "we," "us," or "our") governing your access to and use of the embedio website, dashboard, embeddable widgets, SDK, APIs, and related services (collectively, the "Service"). By creating an account, accessing, or using the Service, you agree to these Terms and to our Privacy Policy, Acceptable Use Policy, and AI Disclosure, each incorporated by reference. If you do not agree, do not use the Service.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, in which case "you" refers to that entity.

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. The Service is intended for business and professional use and is not directed to individuals under 18.

3. Description of the Service

embedio provides backend infrastructure that customers embed into their own websites, including contact and survey forms, newsletter sign-up, appointment booking, file uploads, a live chat widget staffed by the customer's own team, and an AI-powered chat widget ("AI Chat") described in our AI Disclosure. We may add, change, or remove features at any time.

4. Accounts and Registration

You must provide accurate, current information when creating an account and keep it up to date. You are responsible for all activity that occurs under your account and for maintaining the confidentiality of your login credentials and API keys. Notify us immediately at contact@tryembedio.com if you suspect unauthorized use of your account.

5. Subscription Plans, Billing, and Payment

The Service is offered under the subscription plans and add-on modules described on our pricing page, which may include a free tier with usage limits and paid tiers billed monthly. By subscribing to a paid plan, you authorize us, or our payment processor, to charge your payment method on a recurring monthly basis until you cancel.

  • Increases take effect immediately: increasing your plan, adding a module, or purchasing additional submission, storage, or AI-credit capacity takes effect immediately and is billed immediately at a prorated or full rate, as shown at checkout.
  • Decreases take effect at renewal: downgrading your plan or removing a module takes effect at the start of your next billing cycle; you retain access to the higher tier through the end of the period you already paid for.
  • Fees are non-refundable: except where required by law, fees are non-refundable, including for partial billing periods.
  • Pricing changes: we may change our pricing. If a price change affects your active subscription, we will notify you in advance through your dashboard and by email before it takes effect on your next renewal.
  • Failed payment: if a payment fails, we may suspend access to paid features until payment is resolved, subject to the notice periods described in Section 11.

Payment card and billing details are collected and processed by our third-party payment processor, not stored directly on embedio's servers. See our Privacy Policy for details on payment data handling.

6. AI Features

Certain modules, including AI Chat, use artificial intelligence provided by a third-party AI service to generate responses to your end users based on content you configure. AI-generated output may be inaccurate, incomplete, or inappropriate, and you are responsible for reviewing your knowledge base content and monitoring conversations. Full details on how these features work and how data is handled are in our AI Disclosure, which is part of these Terms.

7. Your Content and End-User Data

"Customer Content" means the forms, surveys, knowledge base entries, uploaded files, booking configurations, and other content you create or configure in the Service, and "End-User Data" means information your visitors submit through your forms, bookings, uploads, or chat widgets. As between you and us, you own your Customer Content, and you are responsible for End-User Data and for having a lawful basis to collect it and a privacy policy of your own that discloses your use of embedio and any subprocessors of yours.

You grant us a worldwide, non-exclusive license to host, store, process, transmit, and display Customer Content and End-User Data solely to provide, secure, and improve the Service, and as otherwise described in our Privacy Policy.

We may access Customer Content and End-User Data to provide support you request, investigate suspected abuse or security incidents, and comply with law.

8. Acceptable Use

You agree to use the Service in accordance with our Acceptable Use Policy, which is incorporated into these Terms. We may investigate and take action, including suspending or terminating your account, for any violation.

9. Intellectual Property

We own all right, title, and interest in the Service, including our software, SDK, branding, and documentation, excluding your Customer Content. Except for the limited rights expressly granted in these Terms, no rights are granted to you by implication or otherwise. You may not reverse engineer, decompile, or attempt to derive the source code of the Service, except to the extent applicable law prohibits this restriction.

10. Third-Party Services

We rely on third-party subprocessors to operate the Service, including infrastructure hosting and database providers, an email delivery provider, a file storage provider, our payment processor, and the AI provider described in our AI Disclosure. Current categories of subprocessors are described in our Privacy Policy.

If you use our Connections feature to route End-User Data to a third-party service you connect (for example, a CRM, spreadsheet, messaging app, or support tool), that service's receipt and handling of the data is governed by its own terms and privacy practices, not this Agreement, and you are responsible for reviewing them before connecting it.

11. Suspension and Termination

You may stop using the Service and cancel your subscription at any time from your dashboard. We may suspend or terminate your account if you materially breach these Terms or the Acceptable Use Policy, fail to pay fees when due, or if we reasonably believe your use poses a security or legal risk to us or others; where practical, we will provide notice and an opportunity to cure before suspension.

If you deactivate your account, we retain your data for a limited grace period described in our Privacy Policy in case you wish to reactivate, after which it is permanently deleted.

12. Disclaimers

THE SERVICE, INCLUDING ANY AI-GENERATED OUTPUT, IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT AI-GENERATED CONTENT WILL BE ACCURATE.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EMBEDIO WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

These limitations apply regardless of the legal theory on which a claim is based and even if we have been advised of the possibility of such damages, except to the extent a limitation is prohibited by applicable law.

14. Indemnification

You will defend, indemnify, and hold us harmless from any claims, damages, and expenses, including reasonable attorneys' fees, arising from your Customer Content, End-User Data, your use of the Service in violation of these Terms or applicable law, or your violation of a third party's rights.

15. Governing Law and Venue

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in the State of New York, and you consent to the personal jurisdiction of those courts.

16. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or through a notification in your dashboard before the changes take effect. Continued use of the Service after the effective date of updated Terms constitutes acceptance.

17. General

  • Entire agreement: these Terms, together with our Privacy Policy, Acceptable Use Policy, and AI Disclosure, constitute the entire agreement between you and us regarding the Service.
  • Severability: if any provision is found unenforceable, the remaining provisions remain in full effect.
  • Assignment: you may not assign these Terms without our written consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets.
  • No waiver: our failure to enforce a provision is not a waiver of our right to do so later.
  • Force majeure: we are not liable for delays or failures caused by events beyond our reasonable control.

18. Contact

Questions about these Terms can be sent to contact@tryembedio.com, or through the Support option in your dashboard.
